 RESPONSIBILTIES:

 

Corporate Secretary

  • Manage portfolio of 15-25 US subsidiaries for governance support
  • For entities that hold Board or Committee meetings, plan and organize meetings, prepare and distribute agendas and meeting packs, write meeting minutes and conduct follow-up. 
  • Submit/action data quality control requests to maintain legal entity data in our system of record (Blueprint Diligent Entities) and perform semi-annual Blueprint validations. 
  • Draft and execute legal documents, including written consents, i.e. for appointments, removals, dividends, distributions, and shares transfers. 
  • Register and withdraw state registrations and make other state filings. 
  • Work with outside counsel on restructurings, eliminations and drafting and filing of legal documents. 
  • Meet data storage requirements on LegalKM, SharePoint and Documentum.

 

Eliminations

  • Acting as 'Key Coordinator' (i.e., project manager) for the elimination of legal entities globally
    • Forming a working group of SMEs, comprising LOB, Finance, Tax and CSO (at a minimum) and acting as project manager of this working group
    • Leading the prescribed internal approval process for elimination of an entity to ensure appropriate due diligence is completed prior to the entity's elimination
    • Collaborating with the working group to establish specific plans, timing, ensuring completion of all tasks, escalation of issues and clarity around elimination steps
    • Project managing the elimination process from start to finish and driving the process through to conclusion as quickly as possible
    • Coordinating and hosting working group meetings
    • Being the point person for the entity's elimination, responding to questions as necessary
  • Providing reporting and analysis on eliminations
    • Tracking eliminations including deadlines and status reporting
    • Updating central database (Blueprint) with elimination information
    • Analysis of data relating to the elimination population
  • Providing advice and support to colleagues on the legal entity elimination process
  • Assisting with the maintenance of regional and global eliminations materials
  • Attending regular meetings to discuss legal entity eliminations
  • Assisting in the preparation of materials for regular eliminations meetings
  • Regular reviews of legal entity information to ensure appropriate information is maintained for legal entity eliminations, including exception reporting and appropriate escalation of issues
  • Ad hoc tasks in relation to legal entity eliminations management
  • Providing reports and organization charts from Blueprint, as needed
