About The Job:
We are currently seeking an Associate Attorney with 3-15 years of experience in tax law to join our team. The ideal candidate will have extensive experience in handling corporate tax matters and providing tax planning and compliance advice to clients in a variety of business transactions.
Key Responsibilities:
- Advising clients on federal, state, and local tax matters related to corporate transactions, including mergers and acquisitions, restructuring, and joint ventures.
- Drafting and negotiating transactional documents, such as partnership agreements, operating agreements, shareholder agreements, and tax-related provisions in stock/asset purchase agreements.
- Providing tax structuring advice for complex corporate transactions, including cross-border and multi-jurisdictional deals.
- Assisting clients with tax compliance and planning strategies, including entity formation, tax deferral opportunities, and other tax-efficient structures.
- Representing clients in tax audits, disputes, and litigation with federal and state tax authorities.
- Advising on corporate governance and tax-exempt organizations.
- Keeping abreast of changes in tax laws and regulations, and ensuring compliance with tax regulations.
Required Qualifications:
- 3-15 years of experience in tax law, including experience with corporate tax and business transactions.
- Strong drafting and negotiating skills with a focus on tax-related provisions in a variety of corporate transactional documents.
- Excellent research and analytical skills to provide clients with comprehensive tax advice and solutions.
- Familiarity with federal and state tax regulations, including experience working with the IRS and other tax authorities.
- Licensed to practice law in the State of Florida and a member in good standing with the Florida Bar.
Preferred Qualifications:
- LL.M. in Taxation or equivalent advanced tax law qualifications.
- Experience working with tax-exempt organizations or non-profit entities.
- Experience with international tax matters and cross-border transactions.
- Strong background in corporate governance and business transactions from a tax perspective.
- Knowledge of data privacy and cybersecurity as it relates to tax compliance.
