Job Overview A law firm seeks a mid-level corporate associate with 3-5 years of experience to join its Capital Markets Corporate practice in Boston. The associate will work with public company clients and handle U.S. and cross-border securities transactions, including initial public offerings and debt offerings. Duties Draft and negotiate transaction documents, including underwriting and purchase agreements. Advise clients on SEC reporting and disclosure obligations. Conduct due diligence and coordinate processes across deal teams. Advise on corporate governance matters and stock exchange listing standards. Represent SPACs and target companies in de-SPAC business combinations. Requirements 3-5 years of experience in capital markets and public company counseling. Experience with SEC and other regulatory interfaces. Familiarity with '34 Act reporting requirements. Experience with foreign private issuers and SPAC transactions is beneficial. Admitted to the Massachusetts Bar or eligible for admission. Education Outstanding academic credentials required. Certifications Massachusetts Bar admission or eligibility. Skills Sound judgment and strong project management skills. Ability to work effectively in fast-paced deal teams. Strong client contact and responsibility management.
