General Counsel (Remote – California based ONLY)

 

About the Role

We are partnering with a growing technology firm seeking an experienced and strategic General Counsel to lead all legal, compliance, and corporate governance matters. This is a highly visible, executive-level role that partners closely with senior leadership and the Board of Directors to ensure sound legal strategy, risk management, and full compliance with SEC and public company regulations.

 

The ideal candidate is a seasoned legal leader with a strong background in securities law, corporate governance, and commercial transactions, as well as a pragmatic, business-oriented mindset. This position is fully remote and open to candidates located within the United States ONLY.

 

Key Responsibilities:

Public Company Compliance & Securities Law

  • Oversee all aspects of SEC reporting and disclosure, including 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
  • Ensure compliance with SOX (Sections 302 and 404) in collaboration with Finance and Internal Audit.
  • Advise executive leadership on Regulation FD and disclosure obligations related to investor relations and public communications.
  • Manage insider trading policy administration and compliance monitoring.

Corporate Governance

  • Support the Board of Directors and Committees on governance, compliance, and fiduciary duties.
  • Draft and maintain governance documentation, including board minutes, charters, and policies.
  • Provide guidance on shareholder engagement, activism risks, ESG matters, and evolving governance best practices.

Commercial & Corporate Transactions

  • Draft, review, and negotiate a broad range of commercial contracts, including MSAs, NDAs, licensing, SaaS, vendor, and partnership agreements.
  • Support mergers, acquisitions, financing transactions, and other strategic corporate initiatives.
  • Provide risk assessment and practical business counsel to internal stakeholders.

Legal Department Leadership

  • Lead and scale the company’s legal function, aligning legal priorities with business strategy.
  • Manage relationships with outside counsel and oversee legal budgets.
  • Implement efficient legal operations processes and tools to support a growing, dynamic organization.

Cross-Functional Collaboration

  • Partner with Finance, HR, IT Security, and Investor Relations to ensure compliance and mitigate risk.
  • Advise executives and senior management on key legal and business initiatives.
  • Contribute to enterprise risk management and corporate policy development.

 

Qualifications

  • J.D. from an accredited U.S. law school; active member of at least one U.S. state bar
  • 8–15+ years of legal experience, including both law firm and in-house roles.
  • Direct experience supporting a publicly traded company and deep knowledge of SEC regulations, SOX compliance, and corporate governance.
  • Strong background in commercial contracting, technology transactions, and intellectual property matters.
  • Proven ability to advise C-suite and Board-level stakeholders with sound judgment and strategic thinking.
  • Excellent written, verbal, and interpersonal communication skills.
  • Experience building or leading a legal department within a fast-paced, growth-oriented business.
