The role involves serving as a primary contact for business clients, assisting with business formation, corporate governance, and real estate transactions. Duties Advise on and execute entity selection and formation. Draft operating agreements, bylaws, and corporate resolutions. Lead the drafting and negotiation of Asset Purchase Agreements and related documents. Handle commercial and residential real estate transactions, including leasing and title matters. Provide strategic advice as an "outside general counsel" for small to mid-sized businesses. Requirements 5+ years of dedicated transactional experience. Active member in good standing with the Ohio State Bar. Strong attention to detail in contract drafting and corporate law. Ability to translate complex legal concepts into actionable advice.
